CONTRACT SPECIFICATION

6. Contract Description
The works will be carried out on the national road D8, Section 03: Dugi Rat – Omiš, LOT 4: Omiš Tunnel – Omiš, from km 17+145 to km 19+958,96. The civil works will consist of the construction of a two-lane highway with two tunnels, three viaducts in an interchange and will include drainage, retaining walls and slope protection. The overall length of tunnels is 1697 km (Omiš Tunnel , L=1471 km; and Brzet Tunnel, L=226 m). The Omiš Interchange includes 3 viaducts with total length of 489.69 m, namely:
-  Viaduct Omiš interchange 1, L=167,60 m; and
-  Viaduct Omiš interchange 2, L=194,09 m; and
-  Viaduct Omiš interchange 3, L=128,00 m.

7. Maximum Works Period
24 months from the Notice to Commence, or taking possession of the site.

CONDITIONS OF PARTICIPATION

8. Eligibility
This invitation to tender is open on equal terms to any firms/legal persons participating either individually or in as a group (joint venture) of tenderers.

9. Grounds for Exclusion
Firms of a country may be excluded if, in accordance with a decision of the United Nation Security Council taken under Chapter VII of the Charter of the United Nations, the Employer's country prohibits any participation of firms from that country in works in other countries, or any payments to persons or entities in that country.

10. Number of Tenders
Each tenderer shall submit only one tender either by himself, or as a partner in a joint venture. Tenders for parts of the Works will not be considered. Alternative solutions are not permitted.

11. Tender Security
The tenderer shall furnish, as part of its tender, a tender security, issued by a commercial bank acceptable to the Employer, in the amount of 2% of the tender price. The security will be returned to unsuccessful tenderers upon completion of tender procedure and to the successful tenderer upon signature of the Contract by both Parties (the Employer and the Contractor). The security will be forfeited if the tenderer fails to comply with the requirements stated in the tender documents.

12. Pre-Tender Meeting
The Employer will convene a pre-tender meeting which will take place at the Employer's premises in Voncinina 3, Zagreb on 27 July 2007 at 11.00. a.m.

TENDERING

13. How to Obtain Tender Documents
Tender documents are available from the Employer, at the above mentioned address, second floor, room 201 (Snježana Kurek, tel: ++ 385 – 1 – 4722 – 497 ; fax: ++385 – 1 – 4722 – 491, e-mail: snjezana.kurek@hrvatske-ceste.hr).

The tender documents may be obtained upon a bank transfer of a non-refundble fee of 200 Euro, including VAT, to the bank account of Hrvatske ceste d.o.o., open at Privredna banka Zagreb (ref.no.: 05-8006-9-929):

Each tenderer or partner in a joint venture has to buy the tender document.

Upon a written request accompanied by evidence of payment, the Employer will send the tender documents by mail to a prospective tenderer who submitted a request, but will in no way be responsible for possible delay in shipment or loss of these documents. Tenderers, who require delivery of the tender documents by courier will bear the cost of such delivery.

14. Tender Submission Requirements
Tenderers shall submit their tenders in English language, using the standard forms included in tender documents, format and instructions of which must be strictly observed.

15. Deadline for Submission of Tenders
62 calendar days after the date of publication of this procurement notice in the Official Journal of European Communities, that is not later than 30 August 2007 at 12.00 m. (local time). Any tender received after this deadline will not be considered for evaluation.

16. Public Tender Opening Session
The time and venue of the tender opening session: 30 August 2007 at 12.00 m. (local time), Voncinina 3, 10 000 Zagreb, Croatia, room 400. Designated and authorised representatives of tenderers may attend the session.

17. Tender Validity
Tenders shall be valid for a period of 90 days after the deadline for submission of tenders.

SELECTION CRITERIA AND AWARD OF CONTRACT

18. Selection Requirements
Evaluation of legal, economical, financial and technical responsiveness of tenders will be carried out in accordance with the following main considerations:

• Successful performance in the past five (5) years (contracts signed and projects completed over the last five years) as the prime contractor  on projects similar by type, scope and complexity to the Works tendered:
  • in at least 1 contract/project of tunnel construction of at least 300 m; and
  • in at least 2 contracts/projects of road construction of section at least 5 km long, each of minimum value of HRK 20,000,000.00; and
  • in at least 2 contracts/projects of construction of structures (bridges, viaducts, overpasses) of length at least 100 m;
• Average annual turnover in the past three (3) years (specified as completed works and ongoing works) shall be at least HRK 400,000,000.00.
• Qualification and experience of key staff in accordance with Clause 5.1. Tender Data;

Special attention of foreign companies is drawn to the conditions requested for key staff in accordance with the Croatian laws in force (Clause 5.1. Tender data);

• Qualifications of equipment and machinery in accordance with Clause 5.1. Tender Data

19. Contract Award Criteria
The lowest evaluated price, as defined in the Instructions to Tenderers.

20. Performance Security and Contract Award
For contract signing the successful tenderer shall be required to furnish a performance security in the amount of 10% of contract price expressed in HRK. Signing of contract and furnishing of performance security shall be carried out within 28 days after the receipt of contract signed by the Employer.

Failure of the successful tenderer to sign the contract and furnish the performance security within the deadline shall constitute a breach of contract, and the Employer may resort to awarding the contract to the next ranked tenderer.

OPIS UGOVORA

6. Opis ugovora
Radovi ce se izvoditi na državnoj cesti D-8, dionica 03: Dugi Rat – Omiš, LOT 4: Tunel Omiš – Omiš, od km 17+145 do km 19+958,96. Sastojat ce se od izgradnje dvotracnog kolnika brze ceste s dva tunela, tri vijadukta u jednom cvoru, a obuhvacaju i odvodnju, izgradnju potpornih zidova i zaštitu pokosa. Ukupna duljina tunela je 1697 km (tunel Omiš, 1471 km i tunel Brzet, 226 m). Cvor Omiš imat ce 3 vijadukta ukupne duljine 489,69 m:
-  Vijadukt cvor Omiš 1, 167,60 m;
-  Vijadukt cvor Omiš 2, 194,09 m;
-  Vijadukt cvor Omiš 3, 128,00 m.

7. Krajnji rok dovršetka radova
24 mjeseca od obavijesti o pocetku radova, odnosno uvodenja u posao.

UVJETI SUDJELOVANJA

8. Prikladnost ponuditelja
Sudjelovanje u nadmetanju otvoreno je prema jednakim uvjetima svim tvrtkama/pravnim osobama koje sudjeluju pojedinacno ili u grupacijama ponuditelja (poslovne udruge).

9. Razlozi iskljucenja
Tvrtke iz neke zemlje mogu se iskljuciti iz nadmetanja, ako, sukladno odluci Vijeca sigurnosti Ujedinjenih naroda donesenoj prema Poglavlju VII Povelje Ujedinjenih naroda, država narucitelja zabrani sudjelovanje tvrtki te zemlje u radovima koji se obavljaju u drugim zemljama, ili placanje fizickim ili pravnim osobama u toj zemlji.

10. Broj ponuda
Ponuditelji može dostaviti samo jednu ponudu, bilo samostalno ili kao clan poslovne udruge.
Ponude za djelomicno izvodenje radova nece se razmatrati. Alternative nisu dopuštene.

11. Jamstvo za ponudu
Uz ponudu ponuditelji moraju dati jamstvo za ponudu izdano od poslovne banke prihvatljive narucitelju u iznosu od 2% od cijene ponude. To jamstvo se vraca neuspješnim ponuditeljima po završetku postupka nadmetanja, a uspješnom ponuditelju nakon potpisa ugovora od obje ugovorne strane (tj. narucitelj i izvoditelj). Jamstvo se može izgubiti ako ponuditelj ne ispuni uvjete i zahtjeve navedene u dokumentaciji za nadmetanje.

12. Sastanak pojašnjenja
Narucitelj ce organizirati sastanak radi pojašnjenja ponuda koji ce se održati 27. srpnja 2007. u 11.00 sati u prostorijama narucitelja u Voncininoj 3, Zagreb.

NADMETANJE

13. Kako pribaviti dokumentaciju za nadmetanje
Dokumentacija za nadmetanje može se pribaviti kod narucitelja, na spomenutoj adresi, drugi kat, soba 201 (Snježana Kurek, tel: ++ 385 – 1 – 4722 – 497 ; fax: ++385 – 1 – 4722 – 491, e-mail: snjezana.kurek@hrvatske-ceste.hr).

Dokumentacija za nadmetanje može se pribaviti uz bankovnu uplatu nepovratnog iznosa od 200 eura, ukljucujuci PDV, na bankovni racun Hrvatskih cesta d.o.o. otvoren u Privrednoj banci Zagreb (uz poziv na broj 05-8006-9-929):

Svaki ponuditelj odnosno partner u poslovnoj udruzi mora otkupiti dokumentaciju za nadmetanje.

Na pismeni zahtjev ponuditelja i uz dokaz o placenom iznosu, narucitelj ce poslati dokumentaciju za nadmetanje poštom, ali nece biti odgovoran za kasnu dostavu ili gubitak dokumentacije. Ponuditelj koji traži da mu se dokumentacija za nadmetanje pošalje hitrom dostavom placa sve troškove takve dostave.

14. Uvjeti dostave ponude
Ponude se dostavljaju na engleskom jeziku, na standardnim obrascima unesenim u dokumentaciju za nadmetanje, uz strogo poštivanje zadanih oblika i uputa.

15. Rok za dostavu ponuda
62 kalendarska dana nakon datuma objave ove obavijesti o nabavi u Službenom glasniku Europske zajednice, tj. najkasnije 30. kolovoza 2007 u 12.00 sati po lokalnom vremenu. Ponude primljene nakon tog roka nece se prihvatiti.

16. Javno otvaranje ponuda
Ponude ce se otvarati  30. kolovoza 2007. u 12.00sati po lokalnom vremenu, u Voncininoj 3 u Zagrebu, soba 400. Na sastanku mogu sudjelovati imenovani i ovlašteni predstavnici ponuditelja u predmetnom nadmetanju.

17. Valjanost ponude
Ponude moraju ostati valjane 90 dana nakon isteka roka za dostavu ponuda.

UVJETI ODABIRA I DODJELE UGOVORA

18. Uvjeti odabira
Odabir pravne, ekonomske, financijske i tehnicke prihvatljivosti ponuda obavit ce se prema sljedecim uvjetima:

• U proteklih pet (5) godina uspješno poslovno iskustvo (ugovori moraju biti sklopljeni i projekti realizirani unazad pet godina) u svojstvu glavnog izvoditelja na projektima koji se po vrsti, obimu i složenosti mogu usporediti s radovima u nadmetanju:
  • u najmanje jednom ugovoru/projektu izgradnje tunela od barem 300 m; i
  • u najmanje dva ugovora/projekta izgradnje cestovne dionice duljine barem 5 km, od kojih je svaki vrijedio barem 20.000.000,00 kuna; i
  • u najmanje dva ugovora/projekta izgradnje objekata (mostova, vijadukata, nadvožnjaka) duljine najmanje 100 m;
• U protekle tri (3) godine prosjecna godišnja realizacija (definirana kao dovršeni radovi ili radovi u tijeku) treba biti najmanje jednaka iznosu od 400.000.000,00 kuna.
• Kvalificiranost i iskustvo glavnog osoblja sukladno clanku 5.1. Podaci o nadmetanju. Stranim tvrtkama posebno se ukazuje na zahtjeve tražene za kljucno osoblje sukladno važecim hrvatskim zakonima (clanak 5.1 Podaci o nadmetanju);
• Opremljenost opremom i strojevima sukladno clanku 5.1. Podaci o nadmetanju.

19. Kriteriji za dodjelu ugovora
Najniža cijena prihvatljive ponude, kako je odredeno u Uputama ponuditeljima.

20. Jamstvo za dobro izvršenje ugovora i sklapanje ugovora
Uspješni ponuditelj dužan je narucitelju dostaviti jamstvo za dobro izvršenje ugovora u iznosu od 10% ugovorne cijene u kunama. Supotpisivanje ugovora i ispostava jamstva za izvršenje ugovora mora se obaviti u roku od 28 dana nakon što odabrani ponuditelj primi ugovor potpisan od narucitelja.

Ne uspije li odabrani ponuditelj potpisati ugovor i dati to jamstvo u obaveznom roku, ugovor postaje ništavan te se može sastaviti novi ugovor koji se šalje ponuditelju koji je dostavio drugu po redu prihvatljivu ponudu.
